CAEN Rev. 3 Code Update
Starting on 25 March 2025, the date when Government Decision no. 284/20 March 2025 was published in Official Gazette no. 257/25 March 2025, the update of company activity objects to CAEN Rev. 3 entered an 18-month implementation window.
The Romanian Trade Registry (ONRC) stated that the implementation period runs until 25 September 2026 and that both CAEN Rev.2 and CAEN Rev.3 are accepted during that transition. In practice, however, the process should usually be handled as a corporate-document amendment: the INS correspondence table must be checked, the activity-object wording reviewed, and the shareholder resolutions aligned with an updated version of the articles of association.
What Legal Assistance Covers
- selection of the CAEN Rev. 3 codes in accordance with the company's full scope of activity;
- analysis of the main and secondary activity objects reflected in current corporate documents;
- identification of how the new codes must be reflected in shareholder resolutions and in the updated articles of association;
- preparation of the Trade Registry file and alignment with existing registration certificates and records.
Legal assistance is useful when a company wants to avoid a merely formal or incomplete filing, or an update that does not reflect the activity actually carried out, given that some CAEN Rev. 2 codes have each been converted into several CAEN Rev. 3 codes.
Useful Documents for the First Discussion
- current articles of association and any earlier versions;
- registration certificate and any relevant finding certificates already issued;
- current CAEN code list and the proposed Rev. 3 mapping;
- draft resolutions, observations already received, or other papers prepared for ONRC.
Frequently Asked Questions
1. By when should the CAEN Rev. 3 update be completed?
According to the ONRC information published after Government Decision no. 284/20 March 2025, the implementation period lasts 18 months from 25 March 2025, which leads to 25 September 2026.
2. If all my current codes have a direct correspondence, do I still need an AGA resolution and updated articles?
In practice, usually yes. Even where the correspondence is direct, the ONRC filing and the company documents should be aligned so the new activity-object wording is clear, complete, and consistent with the updated articles of association.
* In Romanian company practice, AGA refers to the General Meeting of Associates or Shareholders, depending on the company form.
3. What happens if one Rev.2 code maps to several Rev.3 codes?
Then the code selection must be reflected expressly in the corporate documents. The company should identify the real activity actually carried on and update its resolutions and articles of association in line with the new code structure.
4. Does ONRC issue new documents after the update?
Yes. ONRC states that in all cases involving an activity-object update it issues, free of charge, a new registration certificate and updated registry information.
